Terms of Service

Rules and conditions for using the STOWER website, application, and APIs.

1. Agreement to Terms

These Terms of Service (the “Terms”) govern your access to and use of STOWER’s software, APIs, and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Definitions

  • “Customer Data”: data you submit to the Service, including shipment, stop, order, vehicle, item, and route details.
  • “Output”: optimization results, routes, load plans, reports, and any derived recommendations produced by the Service.
  • “API Credentials”: API keys, tokens, and other access mechanisms issued to you.

3. The Service

The Service helps customers generate routing and loading/packing plans (including constraint checks such as capacity, timing, and weight distribution) based on Customer Data. The Service may provide multiple planning scenarios, explainability notes, and feasibility diagnostics.

No guarantee of outcomes. Optimization is inherently heuristic and depends on data quality and constraints. You are responsible for verifying Output before operational use.

4. Accounts, API Use, and Security

  • You must safeguard API Credentials and promptly notify us of any suspected compromise.
  • You may not share credentials outside your organization or exceed plan limits (e.g., rate limits, concurrency, daily budgets).
  • You must ensure your systems, integrations, and webhook endpoints are secure and properly configured.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code from the Service (except to the extent permitted by law).
  • Interfere with or disrupt the Service, including through abuse of rate limits, scraping, or probing.
  • Upload unlawful, infringing, or harmful content, or use the Service to violate any law or third-party rights.
  • Use the Service to provide a competing product or service, unless expressly agreed in writing.

6. Customer Data and License

You retain ownership of Customer Data. You grant STOWER a limited license to host, process, transmit, and analyze Customer Data to provide, maintain, and improve the Service, including generating Output, debugging, security monitoring, and performance analytics.

You represent that you have all rights necessary to provide Customer Data and that your use complies with applicable privacy and data protection laws.

7. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable measures to protect confidential information and will use it only to perform under these Terms. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained from a third party.

8. Third-Party Services

The Service may integrate with third-party services (e.g., mapping/matrix providers, storage, observability, messaging). Those services may have their own terms and privacy practices. STOWER is not responsible for third-party services outside our control.

9. Fees, Plans, and Taxes

If you subscribe to a paid plan, you agree to pay all applicable fees and taxes in accordance with your order form or plan details. Fees are non-refundable except as required by law or as expressly stated in writing.

10. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create security risk, or materially degrade the Service for others. You may stop using the Service at any time. Upon termination, your right to use the Service ends.

11. Disclaimers

THE SERVICE AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOWER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Operational responsibility. You are responsible for dispatch decisions, driver safety, regulatory compliance (including axle weight rules, permits, and hours-of-service), and verifying feasibility before execution.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOWER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. STOWER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO STOWER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will indemnify and hold harmless STOWER from claims arising out of your Customer Data, your use of the Service in violation of law, or your breach of these Terms.

14. Changes to the Service or Terms

We may modify the Service and these Terms. If changes are material, we will provide reasonable notice. Continued use after changes become effective constitutes acceptance.

15. Governing Law; Dispute Resolution

These Terms are governed by the laws of [INSERT JURISDICTION], excluding conflict-of-law rules. Any disputes will be resolved in the courts located in [INSERT VENUE], unless the parties agree to arbitration in writing.
